Terms and Condition of Exhibit

1.Terms of Reference

Under these rules and regulations, the term “Exhibitor” shall include all employees, agents of any company partnership, and firm and/or individuals to whom space has been allocated for the purpose of exhibiting. The term “Exhibition” shall mean the exhibitions referred to on the application and contract form (KOREA LIFE SCIENCE WEEK – KOREA LIFE SCIENCE, KOREA LAB Autumn, and NextRegnX). The term “Contract” refers to the application form and agreement signed and submitted by the exhibitor to the Exhibition Secretariat regarding the exhibition space at the exhibition which incorporates the rules. The term “Exhibition Secretariat” hereby refers to the exhibition organizer, Kyungyon Exhibition Corp.

2. Application for Participation

All application for participation shall be made on the prescribed application form. The application form shall be submitted to the Exhibition Secretariat or their authorized Representatives. The submission of the form shall deem to be confirmation of participation and acceptance by the Exhibitor of the Terms of Contract. The Exhibition Secretariat shall reserve the right to accept or refuse any application without disclosing to the Exhibitor any reasons thereof.

3. Allocation of Exhibition Space

The Exhibition Secretariat shall allocate the space in accordance with the nature of the exhibits or in any manner they may deem fit. The Exhibition Secretariat reserves the right to modify the space allocated to the Exhibitor at any time prior to the commencement of booth construction, should exceptional circumstances arise. Furthermore, the Exhibition Secretariat has the right to alter the allocated space, relocate or close entrances and exits to the exhibition facilities, or implement other structural modifications as deemed necessary. Such changes shall be at the discretion of the Exhibition Secretariat and the Exhibitor shall have no claim for compensation as a result of such changes.

4. Use of Exhibition Space

Exhibitors are only entitled to exhibit the announced products and to man the exhibits with competent personnel during the opening hours of the Exhibition. The Exhibition Secretariat reserve the rights to refuse admittance to any visitor to the Exhibition or to have access to any stand. Exhibitors are not allowed to sub-let or assign the stand(s) allotted to them to other parties either wholly or in part without the written consent of the Exhibition Secretariat. Exhibitors will be liable for any damage to the walls or to any part of the Exhibition hall in which their exhibits are placed and shall not paint or otherwise alter the floors, ceilings, pillars, or walls without the prior consent of the Exhibition Secretariat.

5. Breach of Contract and Withdrawal by Exhibitor

Without prejudice to the rights and remedies of the Exhibition Secretariat in respect of any breach of the Contract on the part of the Exhibitor, the Exhibition Secretariat may, at their discretion, allow the Exhibitor to withdraw from the Exhibition subject to the following conditions:
a. The Exhibitor must give written notice to the Exhibition Secretariat that he/she desires to withdraw and if the Exhibition Secretariat allows such withdrawal, they will notify the Exhibitor of their decision in writing.
b. Any payment to the Exhibition Secretariat will not be refunded.
c. Should the exhibitor fail to observe or comply with any of the terms and conditions contained herein or if the Exhibitor shall fail to pay any of the unit costs at the time and in the manner aforesaid, the Exhibition Secretariat may thereupon, by written notice given to the Exhibitor, rescind the contract.
d. Upon the Exhibition Secretariat exercising their right to rescind the contract under sub-clause (c), they may, but is not obligated to, relet or otherwise manage the Exhibition space originally contracted by the defaulting Exhibitor under terms deemed appropriate. If the Exhibition Secretariat is unable to relate the Exhibition space, the defaulting Exhibitor shall be liable to pay the full rental amount as liquidated damages for the resulting loss.

6. Changes

The Exhibition Secretariat reserves the right to modify the venue and/or duration of the Exhibition in the event of exceptional circumstances. In such cases, the Exhibitor’s agreement to participate shall remain binding, provided that the Exhibitor is notified of the change. Additionally, in the event of cancellation of the Exhibition, the Exhibitor shall have no entitlement to claim compensation or damages arising from their reservation for participation.

7. Construction and Decoration of Stand

Exhibitor will be allowed to decorate their units as scheduled in Exhibitor’s Manual. Any damage caused by the Exhibitors or his/her contractors to other Exhibitors or common property shall be responsible by the Exhibitor. All Exhibitors must complete their construction and decoration by the date and time stipulated by the Exhibition Secretariat.

8. Movement of Exhibits

a. Exhibitors shall bear the responsibility and expenses for the transport of exhibits to the Exhibition venue
b. Exhibitors shall make their own arrangement for storage and warehousing of their exhibits.
Exhibitors shall remove all exhibits from the Exhibition Hall within the period stipulated by the Exhibition Secretariat and shall indemnify the Exhibition Secretariat against any loss by reason of the delay or damage to the Exhibition Hall.

9. Failure of Services

The Exhibition Secretariat will not be liable for any loss sustained by the Exhibitor directly or indirectly attributable to the cancellation, suspension, or reduction of duration of the scheduled Exhibition from the period advertised or specified due to:
a. Force Majeure - Beyond the reasonable control of the party affected
b. Pandemic, Epidemic or Plague
c. Acts of War, Military Activity, Municipal Statutory or Civil Authority requisition
d. Fire, flood, typhoon, excessively inclement of weather, earthquake, or a combination of the same
e. Damage caused by an aerial object or aircraft
f. Strikes or lockouts by workmen
If the Exhibition is cancelled, reduced or postponed under such events, the unit costs paid to the Exhibition Secretariat or any part thereof will not be refunded.

10. Cancellations or Partial Cancellations

a. All cancellations or reduction of space must be submitted in writing to the Exhibition Secretariat.
b. If cancelled on or before Jul. 31, 2026, a cancellation fee (30% of the canceled space/booth) shall be paid to the Exhibition Secretariat.
c. If cancelled after Aug. 1, 2026, a cancellation fee (100% of the canceled space/booth) shall be paid to the Exhibition Secretariat.
d. Upon a cancellation (partial or full), booths will be reassigned. Exhibitor may be required to move location when they request a reduction in space.
e. If cancelled on before Jul. 31, 2026 due to inevitable circumstances such as pandemic, epidemic, or plague(e.g. COVID-19), the exhibitor paid amount will be carried over to the next year.

11. Security

The Exhibition Secretariat shall take all security precautions in the interest of the Exhibitors and visitors. However, the Exhibition Secretariat shall not be held responsible for any loss or theft on exhibits at the Exhibition hall during the build-up, exhibition, and dismantling period. The Exhibition Secretariat shall also not be held responsible for any loss or damage to exhibits or any belongings of the Exhibitors.

12. Fire Regulations

All materials used in stands and exhibition constructions must be properly fireproofed in accordance with local regulations. Fire marshals will patrol the Exhibition facilities and will be authorized to stop any demonstrations that are potential fire hazards.

13. Insurance, Liability and Risks

All Exhibitors shall insure, indemnify, and hold the Exhibition Secretariat and the venue owners harmless against all costs, claims, demands, and expenses arising from any loss, damage, and/or injury to persons, however caused, while such persons are present at, examining, or passing through the Exhibition stands during the tenancy of the Exhibition. The Exhibitors shall bear full responsibility for any liabilities and/or risks associated with their employees, agents, and/or exhibits.

14. Consent to the use of Portrait Rights

Photographs and videos are to be taken by the Exhibition Secretariat during the Exhibition. The Exhibitor is deemed to have agreed that images of the booth, exhibit items, and staff(s)(individuals) of any kind (including photos and/or videos) may be used for marketing, publicity, promotion activities for the Exhibition Secretariat, etc. The duration of the use of the portrait rights shall be up to two years from the end date of the exhibition.

15. Consent to collection and use of personal information

The personal information of the applicant (name, phone number, address, mobile phone number, email, company name, department, position, and other written information) in the application is collected for the purpose of delivering notices, promoting the next exhibition, etc. The personal information collected under the consent shall be retained and used until the purpose mentioned above is fulfilled and shall be discarded when the information is confirmed to be unnecessary unless there is an obligation to retain the information under laws.

16. Supplementary Clauses

The Exhibition Secretariat reserves the right to issue supplementary regulations, as necessary, in addition to those outlined in the Terms of Contract, to ensure the smooth operation of the Exhibition. Any such additional regulations or instructions, when provided in writing, shall be considered an integral part of these Terms of Contract and shall be binding upon the Exhibitors.

17. The failure to object to any breach of any clause herein by the Exhibition Secretariat shall not constitute agreement to modification of this agreement; a waiver of any subsequent breach of such clause shall also not be constituted.

18. The construction of the Terms of Contract herein will be governed by the laws of Korea.
